YUBIT User Agreement
Scope & Parties YUBIT (the “Company”) operates a platform providing blockchain-related services (the “Service(s)”), registered and operated in Hong Kong in accordance with applicable Hong Kong laws. The official website is https://www.yubit.com (the “Website”). For convenience, “YUBIT,” “we,” or “us” refers to the Company and the Website; “you” refers to any individual or entity that accesses or uses the Website and Services. Collectively, you and YUBIT are the “Parties,” and each a “Party.”
If multiple language versions of this Agreement are provided, the Chinese version controls in case of conflict or omissions.
Important Notices
Digital assets are not issued by any financial institution, company, or by this Website.
Digital asset markets are new, unverified, and may not grow.
Digital assets carry significant risks and can be highly volatile.
Changes to laws/regulations may suspend or prohibit digital asset trading at any time.
Digital asset trading is not suitable for most people. You should only trade what you can afford to lose and accept all risks, including unforeseen risks. You are solely responsible for your decisions and losses; YUBIT bears no liability for such losses.
Advisories
YUBIT is an information and matching venue where you obtain asset information, locate counterparties, negotiate, and transact. We do not participate in your transactions. You are solely responsible for verifying the truthfulness, legality, and validity of information and for all outcomes.
YUBIT does not provide investment advice. Make independent, prudent decisions.
If YUBIT determines you breach this Agreement or your use is illegal under your local laws, we may suspend or terminate Services at any time.
www.yubit.com is the only official public information channel.
Prohibited: money laundering, smuggling, commercial bribery, and all illegal activities. We may freeze accounts and notify authorities; we bear no liability and reserve all rights to pursue responsibility.
Prohibited: market manipulation, improper trading, or unethical behavior. We may warn, restrict trading, or close accounts to protect market order and assume no liability while reserving all rights.
1. General Terms
1.1 This Agreement consists of the main text plus the Privacy Policy, User Anti-Money Laundering Policy, and any present or future rules, statements, or notices issued by YUBIT (together, the “Agreement”). 1.2 Read this Agreement carefully before using the Services. If you disagree, stop using the Services. By logging in, using the Services, or clicking “Agree,” you confirm you have read, understood, and accepted this Agreement (including any future updates). 1.3 Registration is completed when you submit required information and click “Agree.” Clicking “Agree” forms a binding electronic agreement; no handwritten signature is required. 1.4 After registration you will receive an account and password, which you must safeguard. You are legally responsible for all activities under your account. 1.5 Only registered users may access the trading platform and user-only Services. 1.6 By registering/using the Services, you represent that you:
Accept all terms of this Agreement;
Are 18+ or of legal contractual age under applicable law; your use complies with laws of your jurisdiction;
Own all digital assets you trade and that they are lawfully obtained;
Are solely responsible for your trading/non-trading actions and their outcomes;
Provided true and accurate registration information;
Will comply with tax laws, including reporting any gains;
Will not engage in activity that harms YUBIT’s interests;
Understand this Agreement governs only you and YUBIT, not legal relations with other users or third-party sites.
2. Amendments
We may amend this Agreement from time to time by posting on the Website (no separate notice required). The effective date will appear on the Agreement’s first page. Continued use after changes means acceptance. If you disagree, cease use immediately.
3. Registration
Eligibility You must be a natural person with full civil capacity (or a duly formed entity) under applicable law. If you lack eligibility, you bear all resulting consequences; YUBIT may cancel or permanently freeze your account and seek remedies.
You further represent you are not listed on FATF sanctions lists, OFAC Specially Designated Nationals (SDN), or any trade/economic sanctions list (including UN Security Council sanctions). YUBIT may restrict or refuse Services in certain markets at our discretion.
Purpose You register for lawful use, not to disrupt market order.
Process Provide a valid email, mobile number, and any KYC information required by law (e.g., legal name, ID, etc.). Keep information accurate and updated. You are responsible for any loss arising from false or incomplete information. Where real-name SIM registration is required, you must use a registered mobile number.
You consent to receive operational emails/SMS from YUBIT.
4. Derivatives (Contract) Trading Rules
Principles Rules aim to ensure fair, open, and just markets and protect investors.
Applicability These rules apply to contract trading on YUBIT; if not specified, the User Agreement and other YUBIT rules prevail.
Risk Controls
Contract trading is risky. Price volatility may trigger liquidation of your entire margin. YUBIT is not liable for your losses.
YUBIT may monitor risk in real time and take measures including (without limitation): “reduce-only” restrictions, dynamic parameter adjustments, transfer/trading bans, forced liquidations, etc.
“Reduce-Only” Trigger (for USDT-M contracts) If your position is large and near liquidation, the system may set the contract to Reduce-Only and notify you by email. The restriction will auto-lift within ~10 minutes if any of the following occurs:
Your restricted position size is reduced by ≥30%;
You add margin reducing margin ratio to ≤50%;
Your liquidation price moves ≥20% away from the current mark price.
5. Services
YUBIT provides an online platform only. We are not a buyer/seller of digital assets, and we do not provide fiat deposit/withdrawal services.
5.1 Your Rights
View real-time markets and submit orders to complete trades;
Access your account information and use platform features;
Participate in platform activities per posted rules;
Receive other Services as YUBIT may provide.
5.2 Your Obligations (Service Rules)
Comply with all laws and ensure your assets are lawfully sourced. Do not use the Services for illegal activity or to harm YUBIT/third-party rights.
Keep your account credentials (login/withdrawal passwords, phone, verification codes) secure. You bear all responsibility for actions taken under your account. Notify us immediately of unauthorized use; YUBIT is not responsible for losses incurred before we act. Do not transfer your account without our consent.
You are responsible for all actions under your account, including electronic consents, renewals, and purchases.
Do not disrupt trading order, attack the Website, or defame YUBIT.
Do not compel YUBIT to provide information through extra-judicial means in user disputes.
You are responsible for taxes and all costs (hardware, software, services) arising from your use.
Follow this Agreement and all updated rules; you may terminate use at any time.
5.3 Product/Trading Rules
Viewing Orders: Review price, size, fees, side, etc., and accept all terms before placing.
Placing Orders: Submitting an order authorizes YUBIT to match/execute when market meets your limit/conditions; execution may occur without prior notice.
Trade Records: View execution details in your account center.
Cancel/Amend: You may cancel or amend before execution.
6. YUBIT’s Rights & Duties
We may refuse, cancel, or freeze accounts lacking eligibility; seek remedies where appropriate.
If we deem you unsuitable for high-risk trading, we may suspend/terminate your account(s).
If information appears false/incomplete, we may request corrections or suspend/terminate Services.
We may correct obvious errors on the Website.
We may modify, suspend, or terminate Services at any time (effective upon posting).
We will take necessary technical and administrative measures to maintain normal operations, provide a reliable trading environment, and adjust parameters (e.g., funding rates) as needed to maintain market order.
We invest in security and will notify you of foreseeable risks.
We may remove content that violates law or platform rules without prior notice.
We may request additional information to comply with your local regulations and may suspend or terminate Services where required.
7. Indemnification
YUBIT’s maximum direct liability to you shall not exceed the total fees you paid to use the Services during the three (3) months preceding the event.
If you breach this Agreement or applicable laws, you shall indemnify YUBIT for at least USD 2,000,000 plus all costs (including attorneys’ fees). If losses exceed this amount, you must make YUBIT whole.
8. Injunctive Relief
Both Parties acknowledge that monetary damages may be inadequate. The non-breaching Party may seek injunctive relief and any other remedies at law or equity.
9. Limitation of Liability & Disclaimers
YUBIT is not liable for (including but not limited to): loss of revenue, trading profits, contracts, business interruption, anticipated savings, data, opportunities, goodwill, reputation, replacement costs, or any indirect/special/incidental losses whether foreseeable or not, and whether or not notified in advance.
We are not liable where we have reasonable grounds to suspect illegality/violation; for your misunderstandings; for costs or losses from data/transactions obtained through the Service; or for losses not caused by us.
We are not responsible for service failures/delays due to maintenance, connectivity failures, system faults, power outages, extreme weather, accidents, strikes, riots, shortages, fires, floods, wars, banking/partner issues, market crashes, government/authority actions, or other force-majeure/third-party causes beyond our control.
We do not guarantee the Website or content is virus-free or uninterrupted. You use/download at your own risk.
We make no warranties—express or implied—regarding suitability, error-free operation, continuity, accuracy, reliability, or timeliness. Digital asset markets are unstable and highly volatile; you trade at your own risk.
We do not warrant any third-party sites, products, or services linked on the Website.
You acknowledge and accept our operations per this Agreement and assume all resulting risks.
If your account is misused by a third party, notify YUBIT immediately; we act within a reasonable time. We are not responsible for losses before action is taken.
YUBIT may suspend/interrupt/terminate Services, delete registration, and confiscate illicit gains without notice if we independently determine there is a security-threatening event, including but not limited to: false information, abnormal/suspicious/illegal transactions, AML risks, technical abuse harming fair markets, violations of this Agreement or its spirit, or market manipulation (pump-and-dump, wash trading, self-trading, front-running, quote stuffing, spoofing/layering), or any other situations requiring action for market safety.
10. Termination
YUBIT may cancel your account under this Agreement; termination takes effect upon cancellation.
If YUBIT terminates the Services, this Agreement terminates upon posted notice.
After termination, YUBIT has no obligation to retain, disclose, or forward any account information or messages.
Termination does not affect claims for prior breaches.
11. Intellectual Property
All IP in the Website—logos, databases, designs, text/graphics, software, photos, videos, audio, compilations, source code/scripts—is owned by YUBIT. You may not copy/modify/distribute/use for commercial purposes.
All rights (including goodwill and trademarks) in the YUBIT name/marks belong to the Company.
By posting any protected content on the Website, you irrevocably and exclusively assign all transferable copyrights to YUBIT (including reproduction, distribution, rental, exhibition, performance, broadcasting, information network transmission, cinematography, adaptation, translation, compilation, and other rights). YUBIT may enforce against infringers and recover full damages. This applies to content posted before or after this Agreement.
You may not misuse or dispose of YUBIT’s or others’ IP. Posting on the Website does not transfer any IP to you.
12. Data Protection
Collected Information may include: phone/email, ID documents, IP logs, browsing/transaction data, and other lawful information.
Use of Information (without additional consent): to provide Services; report to authorities as required; verify identity; security/fraud monitoring; marketing and service notices; product/service improvements; mergers/acquisitions/disposals; software certification/upgrades; surveys; statistical cooperation with public bodies; and other lawful or authorized uses.
We do not sell or lend personal information without consent, nor allow unauthorized collection/editing/sale/distribution by third parties. We keep identity/transaction records at least six years and may disclose to regulators where required.
13. Calculations
All trading calculations are verified by us and published methods are disclosed, but we do not guarantee the Website is free from interruption or error.
14. Export Controls
You shall not export/re-export/import/transfer any material (including software) in violation of applicable laws. Report violations to YUBIT and cooperate in remediation.
15. Assignment
This Agreement binds successors and permitted assigns. You may not assign without YUBIT’s consent. YUBIT may assign its rights/obligations upon 30 days’ prior notice.
16. Severability
If any provision is held unenforceable, invalid, or illegal, the remaining provisions remain in effect.
17. No Agency
Nothing herein creates any agency, fiduciary, or representative relationship unless expressly stated.
18. Waiver
A failure to enforce any provision is not a waiver of any other or subsequent breach.
19. Headings
Headings are for convenience only and do not affect interpretation.
20. Governing Law & Jurisdiction
This Agreement is governed by the laws of Hong Kong. Any claim or dispute arising out of or related to this Agreement or the Services shall be exclusively brought in the courts of Hong Kong, which have exclusive jurisdiction. The doctrine of forum non conveniens does not apply.
21. Effectiveness & Interpretation
This Agreement is effective when you click “Agree” and complete registration, and is binding on both Parties. YUBIT reserves the final right of interpretation.
User Anti-Money Laundering (AML) Policy
1. Introduction
We diligently comply with applicable AML laws and implement a comprehensive, international AML framework to meet local and global requirements and ensure continuity of Services.
2. Core Measures
Maintain and update AML rules to reflect current laws/regulations;
Issue and update internal guidelines and require staff compliance;
Implement identity verification (KYC), dedicate specialized AML teams;
Risk-based CDD/EDD and ongoing monitoring;
Review historical transactions regularly;
Report suspicious activity to competent authorities;
Retain KYC and transaction records for at least six (6) years;
Credit cards are prohibited for the entire transaction process.
3. Identity Information & Verification
Individuals: name, address, DOB, nationality, valid government ID/passport, verified address, a live photo holding the ID, and contact details. Entities: registration documents, articles, ownership charts, board resolution/authorization for account openers/signatories, principal business address, and KYC of directors/major shareholders/signatories. We accept Chinese or English documentation; other languages require notarized English translations.
UBO & Control: Identify ultimate beneficial owners (e.g., ≥25% normally; ≥10% treated as higher risk) and verify controlling persons. Trusted certifiers (e.g., consulate, JPs, magistrates) may certify copies.
4. Transaction Monitoring
Set and adjust daily trading/withdrawal limits per security and market conditions;
Review concentrated, abnormal, or unreasonable activity;
For suspicious activity, we may suspend, refuse, or reverse transactions and report to authorities without notice;
YUBIT may refuse users from non-compliant jurisdictions or PEPs, and may suspend/terminate suspicious activity without liability.
